User Agreement

By creating an account or using the Northwind Capital Partners investor portal, you agree to these terms. If you do not agree, do not use the portal.

Access is limited to verified accredited investors. Interests in the fund are offered solely under Rule 506(c) of Regulation D, and you may be required to provide evidence of accredited status before any commitment is accepted.

The portal and its contents are for informational purposes and do not constitute an offer to sell, or a solicitation of an offer to buy, any security. Any offering is made only through definitive offering documents (the PPM, LPA, and subscription agreement), which control in the event of any conflict with the portal.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Offering materials, portfolio data, and other non-public information made available through the portal are confidential. You agree not to reproduce or distribute them except as permitted in writing.

Investments involve risk, including loss of principal. Past performance is not indicative of future results, and any targets or projections are forward-looking statements subject to significant uncertainty. Portfolio holdings shown in this prototype are illustrative.

This agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
